Case from 2016–2019 (U.S. Attorney's Office release: Nov. 30, 2016; later developments are from court records and other sources cited below). Published on Scammers.com Oct. 16, 2026; case status is current as of that date.
Nandu Thondavadi, chief executive of Schaumburg-based Quadrant 4 System Corp., and chief financial officer Dhru Desai were arrested in November 2016 on charges that they misrepresented the publicly traded company's cash flow and concealed its liabilities in SEC filings to inflate its share price [1].
Outcome: Thondavadi pleaded guilty to wire fraud on Nov. 28, 2018, and was sentenced on June 6, 2019, to 60 months in prison and $2.916 million in restitution, according to an SEC order that suspended him from practicing before the commission [2]. Desai was sentenced to 39 months, The Register reported [3]. The court docket shows a change-of-plea hearing in the case on June 4, 2018, and a judgment entered Oct. 9, 2018 [4].
What prosecutors alleged
According to the 2016 criminal complaint, as summarized by prosecutors [1]:
- False filings: Thondavadi and Desai certified annual reports to the SEC that they knew did not fairly present the company's true financial condition.
- Hidden terms: The filings misrepresented and concealed from auditors and shareholders the terms of certain acquisitions and the size of a liability from a lawsuit.
- Lying under oath: The complaint said Thondavadi lied when questioned by the SEC in May 2016.
In his plea agreement, Thondavadi admitted taking part in a scheme to defraud Quadrant 4 and its shareholders through materially false representations and concealment, the SEC said [2]. The Register, describing his 2019 settlement with the SEC, reported that he admitted conspiring with Desai to take more than $4 million out of the company between 2012 and 2016 through 10 shell companies, and agreed to repay $2,641,082 plus $267,892 in interest [3]. It also reported that Quadrant 4 declared bankruptcy in 2017, the day the SEC sued [3].

Red flags for small-cap investors
- Acquisitions whose terms aren't fully disclosed in SEC filings.
- Large payments to vendors or "partners" that can't be traced to real businesses.
- Auditor changes, late filings or restatements.
- Lawsuit liabilities that seem to shrink from one filing to the next.
What to do if you're concerned
- Read the notes and risk factors in a company's 10-K and 10-Q filings on SEC EDGAR, not only the press releases.
- Watch for SEC trading suspensions and enforcement actions involving the company or its officers.
- Report suspected securities fraud to the SEC at sec.gov/tcr.
